Core Runway ConstructIQ™ Free Trial License Agreement

This Free Trial License Agreement ("Agreement") is entered into between Core Runway Inc. ("Core Runway," "we," "our," or "us") and the individual or entity accessing or using the ConstructIQ™ software platform ("User," "you," or "your").
By accessing or using the free trial of ConstructIQ™, you agree to be bound by this Agreement.
1. Grant of Trial License
Subject to the terms of this Agreement, Core Runway grants you a limited, non-exclusive, non-transferable, revocable license to access and use ConstructIQ™ solely for evaluation and internal business purposes during the free trial period.
The software is licensed, not sold.
No ownership rights are transferred to you under this Agreement.
2. Trial Period
The free trial will remain active for the period specified by Core Runway or until terminated by either party.
Core Runway may suspend or terminate the trial at any time, with or without notice.
3. Confidential Information
The ConstructIQ™ platform contains proprietary and confidential information belonging to Core Runway.
You agree that all non-public information relating to the software, including but not limited to:

• Software functionality

• User interface designs

• Workflows

• Features and capabilities

• Product roadmaps

• Technical documentation

• Pricing information

• Reports, analyses, and outputs generated by the software

• Performance benchmarks and evaluations

shall be considered Confidential Information.
You agree to:

1. Maintain the confidentiality of all Confidential Information.

2. Use Confidential Information solely for evaluating the software.

3. Restrict access to employees and contractors who have a legitimate need to evaluate the software and who are bound by confidentiality obligations.

4. Take reasonable measures to protect Confidential Information from unauthorized disclosure.

You may not disclose Confidential Information to any third party without Core Runway's prior written consent.
4. Restrictions
You shall not, and shall not permit any third party to:
Reverse Engineering

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, models, prompts, workflows, architecture, or underlying ideas of the software.

Copying

• Copy, reproduce, duplicate, mirror, or create derivative works of the software, in whole or in part.

Competitive Use

• Use the software to develop, train, improve, benchmark, or support any competing product or service.

AI Training

• Use any portion of the software, outputs, workflows, or documentation to train, fine-tune, evaluate, or improve any artificial intelligence or machine learning system.

Circumvention

• Bypass, disable, or interfere with any security, authentication, usage limits, or access controls implemented by Core Runway.

Redistribution

• Sell, sublicense, distribute, rent, lease, assign, transfer, or otherwise make the software available to any third party.

5. Ownership
Core Runway retains all right, title, and interest in and to:

• ConstructIQ™

• All software code

• Databases

• Data models

• AI workflows

• User interfaces

• Documentation

• Trademarks

• Trade secrets

• Intellectual property rights

Nothing in this Agreement grants you any ownership interest in the software or related intellectual property.
6. Feedback
If you provide suggestions, comments, ideas, enhancement requests, bug reports, or other feedback regarding the software, you grant Core Runway a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, and commercialize such feedback without restriction or compensation.
7. User Data
You retain ownership of information that you upload to the platform.
You represent that you have the necessary rights and permissions to upload such information.
Core Runway may use uploaded data solely to provide, maintain, improve, and support the software, subject to applicable law and our Privacy Policy.
8. No Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE."
CORE RUNWAY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

• MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

• ACCURACY OF RESULTS

• UNINTERRUPTED OPERATION

CORE RUNWAY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT ANY OUTPUTS WILL BE COMPLETE OR ACCURATE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORE RUNWAY SHALL NOT BE LIABLE FOR ANY:

• INDIRECT DAMAGES

• INCIDENTAL DAMAGES

• CONSEQUENTIAL DAMAGES

• SPECIAL DAMAGES

• LOSS OF PROFITS

• LOSS OF BUSINESS OPPORTUNITIES

• LOSS OF DATA

ARISING FROM OR RELATED TO THE USE OF THE SOFTWARE.
CORE RUNWAY'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
10. Injunctive Relief
You acknowledge that unauthorized disclosure of Confidential Information or unauthorized copying, reverse engineering, or misuse of the software may cause irreparable harm to Core Runway.
Core Runway shall be entitled to seek immediate injunctive relief, in addition to any other remedies available at law or equity, without the requirement to post bond.
11. Termination
Core Runway may terminate this Agreement or your access to the software at any time.
Upon termination, you must immediately cease all use of the software and destroy any Confidential Information in your possession.
Sections relating to confidentiality, ownership, feedback, limitation of liability, and injunctive relief shall survive termination.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Delaware, and each party consents to the jurisdiction of such courts.
13. Acceptance
BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
